IMPORTANT NOTICE: DO NOT USE YOUR SANDIA CYBER CREDENTIALS UNTIL YOU HAVE READ AND UNDERSTOOD THESE CONDITIONS AND LIMITATIONS, AND AGREE TO BE BOUND BY THEM.

A Sandia National Laboratories sponsor has requested that you be given electronic access to specific Information at Sandia. If you wish to electronically access this specific information, please read this document carefully before using your Sandia Cyber Credentials, which include either a Sandia Kerberos-Restricted password or your DCE Cross-Realm Credentials, as your first use of the Credentials will be deemed to signify that you have read, understood and agreed to the contents of this document. With your first use of your Sandia Cyber Credentials, this document will form a binding commitment from you to Sandia.

This document expresses the conditions and limitations on: (1) use of your Sandia Cyber Credentials; and (2) your use of the specific information accessed by you using your Sandia Cyber Credentials. If you do not understand any condition or limitation contained in this document, please contact your Sandia Sponsor, and do not use your Sandia Cyber Credentials until an authorized Sandia employee has explained to your satisfaction the meaning and effect of this document.

Provisions of Access

1. By this process, Sandia grants to you, and you alone, non-commercial, non-transferable, and non-exclusive electronic access to specific information using Sandia Cyber Credentials issued solely for use in accordance with these conditions and limitations, and any other instructions and directions for information use supplied to you by your Sandia National Laboratories sponsor. You agree to comply with these conditions and limitations and any other instructions and directions for information use supplied by your Sandia National Laboratories sponsor to you.
2. Technological changes from time to time may make your desktop PC, modem, or other equipment obsolete or otherwise unsuitable for electronic access to Sandia Information. Sandia will not be responsible for providing, updating, or replacing any part of your equipment required to obtain access to the specific information or for any telecommunication or other related costs. In addition, Sandia will not be responsible for maintaining equipment suitable for your continued access to the specific Information.

Security

1. Your Sandia Cyber Credentials will enable you to access specific Sandia National Laboratories information.
2. Your activities on Sandia's electronic information system are logged. You have no implicit or explicit expectation of access or privacy during use.
3. At its sole discretion, Sandia may from time to time bar you (alone, or along with others) from electronic access to its Information using the Sandia Cyber Credentials. Sandia will make a reasonable effort to inform you as soon in advance or soon after such action as practicable.
4. If you become aware of, or suspect, any unlawful or unauthorized use of your Sandia Cyber Credentials, with or without your permission, tacit or otherwise, you agree to immediately notify your Sandia Sponsor. Sandia, in its sole discretion, may then permit you to request and obtain a replacement Sandia Cyber Credentials in accordance with any reasonable procedures adopted by Sandia.
5. You will not be responsible for unauthorized use of your Sandia Cyber Credentials after you have cancelled it in accordance with Sandia's prescribed procedures.
6. You will not attempt to subvert the security or protective features of Sandia's electronic information system in order to gain access to information to which you do not have authorized access, or at times when specific information to which you have authorized access is not otherwise accessible by you. You must not attempt to install software, programs, or executable instructions of any kind into Sandia's electronic information systems, except for the specific business use authorized by your Sandia sponsor.

Title

1. Sandia and/or one or more of its sponsors owns all intellectual property rights subsisting anywhere in the world to Sandia's Information. You have no rights to the Information other than as set out by a separate contract between you and/or your employer, and Sandia Corporation.
2. If you become aware of or suspect any unlawful or unauthorized use or other infringement of any intellectual property rights of Sandia or one or more of its sponsors by any persons, you agree to immediately bring this event to the attention of Sandia and to fully cooperate with Sandia in its efforts to resolve this situation.

Confidentiality

1. You acknowledge that those parts of the information that have not entered the public domain or become generally known, including your Sandia Cyber Credentials, are sensitive and you agree that you will treat the information with the utmost care and perform all other acts necessary to preserve the Information from unauthorized use or disclosure. You also agree not to do anything that may damage or endanger the business value of the information.
2. As used herein, "unauthorized use or disclosure" includes any use or disclosure of any of the information, except for the specific business use authorized by your Sandia sponsor.
3. You may from time to time receive or have disclosed to you certain other information relating to the operation of Sandia Corporation's business. You shall treat such information as sensitive information as required by paragraph 1.
4. The parties agree that the provisions relating to sensitivity shall survive the termination of this Agreement.

Restrictions in Use

1. You may not copy, reproduce, duplicate, modify, adopt or lend, sell or otherwise transfer, in whole or part, any of the information, except for the specific business use authorized by your Sandia sponsor.
2. You will not place Sandia information on computing equipment or information resources personally owned by you or for your personal use, gain, access, or exploitation.
3. Your use of Sandia information and/or information processing activities shall not result in denial of use or access by Sandia to any of its information or information resources.
4. Your agreement with Sandia Corporation on these conditions and limitations is personal to you and may not be assigned or otherwise transferred to any other person.

Limitation of Liability

1. Sandia Corporation makes no warranty or representation that the specific Information can be electronically accessed at all times. The information may be temporarily unavailable or restricted for administrative or other reasons and Sandia Corporation does not accept any responsibility for loss or damage arising out of or in connection with loss of access to the specific information.
2. You acknowledge that your uninterrupted access to the specific information may also be prevented by certain factors outside the reasonable control of Sandia Corporation, including the non-operation, inefficiency or unsuitability of your equipment and/or the unavailability, non-operation or interruption of internet or other telecommunication services. Sandia Corporation does not accept any responsibility for any loss of or damage to information arising out of or in connection with any such disruption in your electronic access.
3. Sandia Corporation does not accept any responsibility for the inaccuracy, incompleteness or use of any information received by or arising out of or in connection with data transmission or that takes place due to machine or software error, malfunction, or from your operating error.

Termination

1. You may terminate your access to the specific information, your Sandia Cyber Credentials, and these conditions and limitations by giving notice in writing to your sponsor at Sandia. Termination will be effective upon receipt of this notice by Sandia.
2. Sandia will immediately terminate your access to information, your Sandia Cyber Credentials, and this agreement if you attempt to:
   1. subvert the security or protective features of Sandia's electronic information system in order gain access to information to which you do not have authorized access,
   2. access information other than the specified information authorized by your Sandia sponsor,
   3. to gain access at times when specific information to which you have authorized access is not otherwise accessible by you, or
   4. to install information or executable instructions on Sandia's electronic information system, except for the specific business use authorized by your Sandia sponsor.
3. Your need for access to specific information will be re-evaluated by your Sandia sponsor on an annual basis.

General Provisions

1. A failure or delay by either party to enforce any right under these conditions and limitations is not an implied waiver of the same or any other right in the future.
